Allarity Acquisition, a blank check company backed by Allarity Therapeutics targeting life sciences and biotech, filed on Thursday with the SEC to raise up to $100 million in an initial public offering.
The company plans to raise $100 million by offering 10 million units at $10. Each unit consists of one share of common stock, and one-half of one warrant to purchase a share, exercisable at $11.50.
Allarity Acquisition is led by CEO Thomas Jensen, the CEO and co-founder of Allarity Therapeutics (Nasdaq: ALLR), CFO Jeffrey Ervin, the CFO of Allarity Therapeutics, and Chairman Jesper Hoiland, the Head of Strategy of Rani Therapeutics (Nasdaq: RANI). The SPAC plans to target life sciences and biotechnology businesses.
The Tarpon Springs, FL-based company was founded in 2026. It plans to list on the Nasdaq under the symbol ALLNU. Maxim Group LLC is the sole bookrunner on the deal.
