Allarity Acquisition

We are a newly organized blank check company incorporated for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities, which we refer to throughout this prospectus as our initial business combination. We have not selected any specific business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target with respect to an initial business combination with us. While we may pursue an initial business combination target in any industry, sector or geographic region, including the life sciences or biotechnology field, we believe our management team and Board are particularly well positioned to evaluate opportunities in the life sciences and biotechnology sectors. Our acquisition strategy will seek to capitalize on the experience and relationships of our management team and Board, including backgrounds in life sciences, biotechnology, precision medicine, public company leadership, capital raising, mergers and acquisitions, licensing, commercialization and strategic growth initiatives. Overall, we intend to seek to acquire businesses that we believe are fundamentally sound and that may benefit from capital, strategic support or operational enhancement to maximize value. We do not intend to acquire companies with speculative business plans or companies that are excessively leveraged unless, after substantial due diligence, we believe such companies would have the potential to operate successfully as publicly traded companies.
