The Company is a newly organized Delaware statutory trust formed on February 27, 2026, and is a closed-end, diversified, management investment company that has elected to be regulated as a BDC under the 1940 Act. In pursuing its investment objective, the Company will primarily invest, under normal circumstances, in a diversified portfolio of early-stage and growth-stage private companies.
