SPACCircle Acquisition, a blank check company targeting digital asset, technology, and healthcare businesses, lowered the proposed deal size for its upcoming IPO on Monday.
The Sacramento, CA-based company now plans to raise $100 million by offering 10 million units at $10. Each unit consists of one share of common stock, one whole warrant to purchase a share, exercisable at $11.50, and one right to receive one-half of a share at the time of the business combination. The company had previously filed to offer 15 million units at $10.
SPACCircle Acquisition is led by CEO and Chairman John Dicconson, the former COO of Katch Entertainment and former CEO of DoceoTech, and CFO Augustin Meloty-Kapella, the former CFO of Explorer Acquisition, which helped launch several SPACs. The SPAC will take a generalist approach but intends to emphasize digital assets, technology and healthcare.
SPACCircle Acquisition was founded in 2026. It plans to list on the Nasdaq under the symbol SCQCU. D. Boral Capital is the sole bookrunner on the deal.
