Hall Chadwick Acquisition II, a blank check company targeting critical materials, infrastructure, and defense, lowered the proposed deal size for its upcoming IPO on Tuesday.
The Singapore-based company now plans to raise $200 million by offering 20 million units at $10. Each unit contains one share of common stock and one-half of one warrant exercisable at $11.50. The company had previously filed to offer 26.5 million units at $10.
The company is led by CEO and Director Alex Bono, the co-founder and CEO of GPU cloud rental provider ClustAI. He is joined by CFO and Director Aaron Dominish, a partner at Hall Chadwick. The SPAC intends to target high-growth companies implementing transformative technologies in global connectivity, sustainability, and infrastructure development, with a particular focus on businesses in critical materials, infrastructure, and defense-aligned technology.
Management’s previous SPAC, Hall Chadwick Acquisition (HCAC; +2% from $10 offer price), raised $180 million in an IPO last November and agreed in June to merge with rare earth recycler REEcycle.
Hall Chadwick Acquisition II was founded in 2026. It plans to list on the Nasdaq under the symbol HCAXU. Cohen & Company Securities is the sole bookrunner on the deal.
