SPAC MNBS Acquisition files for a $75 million IPO, targeting North America, Europe and Asia

MNBS Acquisition, a blank check company targeting cross-border businesses in North America, Europe and Asia, filed on Tuesday with the SEC to raise up to $75 million in an initial public offering.

The company plans to raise $75 million by offering 7.5 million units at $10. Each unit consists of one share of common stock, one whole warrant to purchase a share, exercisable at $11.50, and one-seventh of a right to receive a share at the time of the business combination.

MNBS Acquisition is led by CEO and Director Iris Zhao, the CIO of Future FinTech Group (Nasdaq: FTFT). Zhao has experience with other SPACs and concurrently serves as CEO of Gravity Acquisition (pending: GVAC) and former COO of Mars Acquisition through its 2025 merger with ScanTech AI Systems (formerly Nasdaq: STAI). She is joined by CFO and Director Shihao Liu, the Executive Director of Cornerstone Financial Holdings, and Chairman Mingjie Zhao, the Chairman of Shineco (formerly Nasdaq: SISI). The SPAC plans to target cross-border businesses in North America, Europe and Asia with proven business models.

The Rosemead, CA-based company was founded in 2026. It plans to list on the Nasdaq under the symbol MNBSU. MNBS Acquisition filed confidentially on May 26, 2026. Maxim Group LLC is the sole bookrunner on the deal.
