Hong Kong-based education services provider Rise Smart Group Holdings withdraws $8 million US IPO

Rise Smart Group Holdings, which provides services to students in Hong Kong seeking higher education abroad, withdrew its plans for an initial public offering on Friday. It had first filed in May 2024, and most recently in December 2025 filed to raise $8 million by offering 2 million shares at $4.

Primary shareholders include CEO and Chair Kin Li and private investor Wa Cheong.

The Hong Kong, China-based company was founded in 2006 and booked $3 million in revenue for the 12 months ended June 30, 2025. It had planned to list on the Nasdaq under the symbol RSHL. Prime Number Capital was set to be the sole bookrunner on the deal.
