SPACCircle Acquisition, a blank check company targeting digital asset, technology, and healthcare businesses, filed on Tuesday with the SEC to raise up to $150 million in an initial public offering.
The company plans to raise $150 million by offering 15 million units at $10. Each unit consists of one share of common stock, one whole warrant to purchase a share, exercisable at $11.50, and one right to receive one-third of a share at the time of the business combination.
SPACCircle Acquisition is led by CEO and Chairman John Dicconson, the former COO of Katch Entertainment and former CEO of DoceoTech, and CFO Augustin Meloty-Kapella, the former CFO of Explorer Acquisition, which helped launch several SPACs. The SPAC will take a generalist approach but intends to emphasize digital assets, technology and healthcare.
The Sacramento, CA-based company was founded in 2026. It plans to list on the Nasdaq under the symbol SCQCU. D. Boral Capital is the sole bookrunner on the deal.
