Mongolia-based retail and commercial bank Bogd FT files for a $31 million US IPO

Bogd FT, a retail and commercial bank with 17 branches throughout Mongolia, filed on Tuesday with the SEC to raise up to $31 million in an initial public offering.

The company plans to raise $31 million by offering 6.3 million shares at a price range of $4 to $6. At the midpoint of the proposed range, Bogd FT would command a market value of $301 million.

The company provides commercial banking products and services to retail customers, small and mid-sized enterprises, and mid-market corporate clients in Mongolia, including loans, deposits, international remittances, foreign exchange, insurance brokerage, financial leasing and letters of credit, along with banking solutions for the agricultural and rural sectors. Founded in 2014, the bank operates 17 branches (15 in Ulaanbaatar) and 8 ATMs, complemented by call centers and internet and mobile banking platforms.

Should it complete its NYSE American IPO, Bogd FT will become the first-ever Mongolia-based company to list on a major US exchange. Mongolia’s economy posted a +7.7% y/y GDP growth rate in the 1H 2026, exceeding World Bank forecasts, as the high price of copper boosts the country’s sizable mining sector.

The Ulaanbaatar, Mongolia-based company was founded in 2014 and booked $21 million in revenue for the 12 months ended December 31, 2025. It plans to list on the NYSE American under the symbol BOGD. Bogd FT filed confidentially on March 20, 2026. D. Boral Capital is the sole bookrunner on the deal.
