We are a blank check company incorporated in the Cayman Islands on March 10, 2026, as an exempted company for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination, which we refer to throughout this prospectus as our “business combination” with a business or entity. While we may pursue an initial business combination with a target in any business, industry or geography, we intend to capitalize on the experience, relationships and operating track record of our management team to identify, acquire and grow a business in industries that complement that experience. In particular, we expect to concentrate our efforts on opportunities in the following sectors: Sports, including professional and semi-professional sports franchises, leagues, academies and youth sports platforms, sports media and sponsorships, sports agencies, sports technology and data, and sports-related consumer brands; Hospitality and leisure, including restaurants, food halls, hotels, resorts, destination and experiential entertainment concepts, live events, and related consumer services; and Real estate, with a particular interest in sports- and hospitality-anchored, mixed-use real estate developments (including stadium, arena and entertainment-district projects) and the operating businesses that anchor them.
