We are a newly organized blank check company incorporated as a Delaware corporation formed for the purpose of effecting a merger, share purchase, reorganization, capital stock exchange, asset acquisition, reorganization or similar business combination with one or more businesses. Although we may pursue an acquisition opportunity in any business or industry, we intend to focus on opportunities that transform traditional industries in positive ways and generate tangible improvements to the well-being of the global population, particularly with respect to energy, transportation, buildings, manufacturing, and food and agriculture. Our primary focus will be on solutions driving the decarbonization of the economy, as nations, companies, stakeholder groups, and individuals increasingly demand the use of low-carbon and resource-efficient solutions that will enable society to mitigate and adapt to climate change. To meet these demands, the global energy ecosystem requires $69 trillion of capital investment through 2040, according to the International Energy Agency (“IEA”).
