We are a blank check company for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination. We currently intend to concentrate our efforts on identifying companies in the cryptocurrency and blockchain technology sector, including but not limited to, exchanges, custody companies, market maker, and blockchain platforms. Our potential targets may exhibit a broad range of business models and financial characteristics that range from very high growth innovative companies to more mature businesses with established recurring revenues and strong cash flows. While we may pursue a business combination in any industry, we believe that the analytics, blockchain technology, custody, banking, infrastructure, exchange, market making, and payments industries provide ample business combination opportunities. We see these industries as having reached a pivotal inflection point, marked by accelerating adoption of bitcoin and other cryptocurrencies among leading traditional financial institutions and corporations. Within the crypto and digital asset ecosystem, we will focus our search on operating companies including those providing services such as analytics, custodian services, exchanges and market makers, asset tokenization and decentralized finance (DeFi).
