We are a blank check company. We will seek to capitalize on the experience of our management team, which consists of investors and entrepreneurs as well as individuals with backgrounds in the financial services. We believe that our management team’s relationships within the digital asset industry, and its ability to identify and implement value creation strategies will give us a competitive advantage in pursuing a broad range of opportunities. While we may pursue an initial business combination target in any business, industry or geographical location, we intend to focus our search to companies within the cryptocurrency and Web3 technology, with an emphasis on regulated custody and asset management, tokenization platforms focused on trading real world assets (RWAs), and AI-driven payment infrastructure. We intend to capitalize on the ability of our management team to identify, acquire and operate a business or businesses that can benefit from our management team’s established relationships and operating experience. Our management team has extensive experience in identifying and executing strategic investments and has done so successfully in a number of sectors, particularly in global payment technology, digital assets, and fintech.
