We are a newly incorporated blank check company. Our sponsor’s sole member, Orion Mine Finance Fund III, is required to invest in the global metals and mining industry, including operators of mines and providers of ancillary services (the “mining industry”). We will only pursue a business combination target in the mining industry absent a waiver of that requirement by a carrying majority of the sponsor’s sole member. We intend to capitalize on the Orion platform to identify, acquire and operate a business in the global mining and metals and basic materials sectors. This may include “green” and/or battery metals and industrial minerals, and ancillary service providers delivering innovative mineral processing technologies, or battery material technologies. We believe these areas of focus represent favorable market opportunities to consummate a business combination. Orion is one of the most experienced global private equity investors within the metals and mining sector, whose capital is primarily used to finance the construction of mid- to late-stage mining and minerals projects through a combination of debt, equity and production-linked investments (e.g., royalties, streams and offtakes).
