We are a newly organized blank check company incorporated on April 1, 2026. While we may pursue an acquisition opportunity in any business, industry, sector or geographical location, we intend to focus on industries that complement our management team’s background, and to capitalize on the ability of our management team to identify and acquire a business, focusing on the healthcare or healthcare-related industries. In particular, we are targeting companies in the drug development and commercialization, diagnostic and healthcare technology and service sectors where our management has extensive investment experience. We may pursue a transaction with a target that is affiliated with RA Capital Management, our sponsor, directors or members of our management team. We may pursue a transaction in which our shareholders immediately prior to the completion of our initial business combination would collectively own a minority interest in the post-business combination company. RA Capital Management is a leading life sciences focused investment firm with over $15 billion of regulatory assets under management as of December 31, 2025. Matthew Hammond, PhD, our founding CEO and Director is a Partner on the investment team at RA Capital Management and Henry Stusnick, our founding Chief Business Officer and Operating Officer, is an Analyst on the investment team at RA Capital.
