We are a newly incorporated blank check company incorporated as a Cayman Islands exempted company and incorporated for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We believe that we currently stand at an inflection point in the market, wherein selected industrial and technology companies are fundamentally changing the world at an unprecedented pace by applying next-generation technologies to numerous commercial and industrial markets. Companies that stand at the cross-roads of technology and industrials have the unique capability to unlock new markets and opportunities across the industrial value chain. This new wave of high growth, hybrid “industrial and technology” players are in a prime position to reshape the industrial landscape.
