We are a blank check company incorporated on August 28, 2025 as a Cayman Islands exempted company and formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. While we may pursue a business combination target in any business or industry, we intend to identify opportunities within the financial services and financial technology sectors. Our strategy is built on three pillars that reflect the experience and relationships of our management team and board of directors: 1) Differentiated Sourcing in Financial Services and FinTech. 2) Value Creation Through a “LifeCycle” Investment Approach. 3) Capital Markets and Public Company Expertise. We will seek an initial business combination that meets a majority of the following guidelines: targets in the financial services and fintech sectors, where our expertise in lending platforms, structured assets and capital markets can be most additive, businesses with an aggregate enterprise value between $1.0 billion and $3.0 billion that can benefit from access to the public capital markets, and opportunities identified through our proprietary networks and relationships, rather than broadly marketed processes.
