We are a blank check company incorporated under the laws of the Cayman Islands as an exempted company with limited liability on June 24, 2025 for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization or similar business combination with one or more businesses or entities. We have 18 months from the closing of this initial public offering, subject to extension up to 21 months by means of three one-month extensions provided that $0.033 per public share is deposited into the trust account for each one-month extension and further provided that the Company has entered into an agreement for an initial business combination within that 18-month period. Our search for a prospective target business will not be limited to any specific geographic region, except that we will not pursue a target company that is based in, or has the majority of its operations in, the PRC. To date, our activities have been limited to organizational matters and preparations related to this offering. We have not selected any specific business combination target and we have not, nor has anyone on our behalf, engaged in any substantive discussions, directly or indirectly, with any business combination target with respect to an initial business combination with us. We may pursue an initial business combination in any industry or sector.
