We are a newly incorporated blank check company incorporated on February 25, 2026 as a Cayman Islands exempted company, formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not identified any potential target for our initial business combination and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any potential target for our initial business combination. We intend to capitalize on the extensive experience and vast relationships of our founders, Lord Nathaniel (“Nat”) Rothschild and Ian Snow, and/or board of directors to identify, acquire and steward a business that we believe is positioned for long-term value creation and could materially benefit from our sponsorship. Although we may pursue an initial business combination in any sector, members of our management team, board have specific expertise and notable prior success working with companies in the industrial, manufacturing and chemicals sectors, amongst others.
