Emerging Markets Horizon ^{Priced, Nasdaq: HORIU}

We are a newly formed blank check company. Our sponsor, EM Horizon Investments, is controlled by Riccardo Orcel, Nevsky Properties, which is controlled by VTB Capital, and FPP Capital Advisers, which is an affiliate of FPP Asset Management. We refer to Mr. Orcel, VTB Capital and FPP AM as our “Founders”. Mr. Orcel, our Chief Executive Officer, has a successful track record of leadership as a senior executive in investment banking. He also brings an extensive network of business relationships across Central & Eastern Europe (“CEE”), Middle East and Africa in particular and in emerging markets more generally. While we may pursue an initial business combination with a target at any stage of its corporate evolution or in any industry or sector, we intend to focus on identifying high growth technology and consumer-exposed businesses with an enterprise value of at least $700 million in CEE, Russia or the Commonwealth of Independent States (the “CIS”). We will seek to acquire businesses led by world-class management teams, with validated technologies, proven business models and attractive unit economics, strong corporate governance compliant with Environmental, Social and Governance principles and that are well positioned for continual growth and market leadership over the long term.
