We were formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. Although we reserve the right to pursue opportunities in other industries and regions, the Company intends to focus on operating businesses in the biotechnology or TMT industries in Asia or North America evaluated based on, among other things, sustainability and ESG imperatives.
