We are a newly-organized blank check company. While we may pursue an initial business combination target in any business, industry or sector or geographical location, we intend to focus on businesses in the education, training and education technology (“EdTech”) industries, specifically in Asia, including companies with operations located primarily in the People’s Republic of China (“PRC”), where our management team has extensive experience. Our management team is led by Jonathan Chan, our Chairman of the Board and Co-Chief Executive Officer, David Kopp, our Vice Chairman and Co-Chief Executive Officer, and Alex Lee, our Chief Financial Officer. We have assembled a group of independent directors who will provide public company governance, executive leadership, operational oversight, private equity investment management and capital markets experience. Our board members have extensive experience, having served as directors or officers for numerous publicly listed and privately-owned companies. Our directors have experience with acquisitions, divestitures and corporate strategy and implementation, which we believe will significantly benefit us as we evaluate potential acquisition or merger candidates as well as following the completion of our initial business combination.
