FPA Energy Acquisition ^{Filed Terms, Nasdaq: FPAQU}

We are a blank check company. We intend to identify and acquire a business or businesses that could benefit from a hands-on owner with extensive operational experience in the North American energy and real estate sectors that presents potential for an attractive risk-adjusted return profile under our stewardship systems. While we ultimately pursue a business in any industry or sector, our initial focus will likely include target companies that manage, finance, operate, construct, control or support real estate or which derive a large component of revenue from real estate, construction or infrastructure related activities. We are particularly interested in opportunities involving transforming existing office buildings into mixed use developments where one can live, work and play. Where applicable, we will adhere to a 3 Net Zero approach which allows the development of properties with favorable geologic features, such as supporting solar power, recycling water to irrigate land and plants on location, to ease burdens on sewage and septic systems. We believe in staying current on “Green” efficiency technology while providing state of the art eco-friendly environments.
