We are a blank check company newly incorporated as a Cayman Islands exempted company for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities, which we refer to throughout this prospectus as our initial business combination. We have not selected any potential business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any potential business combination target. Our sponsor, CSR Sponsor LLC, is an affiliate of Clifton S. Robbins (through his personal and family trust vehicles). While we may pursue an acquisition in any business industry or sector, we intend to capitalize on the 40 years of investment experience of Mr. Robbins, our Founder and Chief Executive Officer. Mr. Robbins is a well-known investor with a long and distinguished track record identifying, consummating and adding post-investment value to investment opportunities across both the private and public equity markets, including in the private equity, venture capital and growth investing segments of the private markets, and in the large-cap, mid-cap and small-cap segments of the public markets. We believe that Mr. Robbins’ unique expertise and experience well positions us to add value to a target company through add-on acquisitions, governance enhancements, capital structure optimization, and improvements to operations and risk management, including material environmental, social and governance (“ESG”) practices and metrics.
