We are a blank check company incorporated on September 15, 2025, as a Cayman Islands exempted company and formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. While we may pursue an initial business combination target in any industry, we currently intend to concentrate our efforts on identifying businesses in the financial technology and artificial intelligence industry sectors. We will seek to capitalize on the decades of combined investment experience of our management team.
