We are a blank check company incorporated for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. Although we may pursue an initial business combination in any business or industry, we intend to prioritize prospective targets in the oil and gas sector, including upstream (exploration and production), midstream (transportation, storage, gathering, and logistics), and downstream (refining, processing, marketing, and distribution) activities. This includes conventional and unconventional oil and natural gas assets, pipelines, storage facilities, refineries, and related infrastructure. We will focus on operational assets as well as projects and companies at various stages of development, including those in the pre-construction/development phase, under construction, or already operational. While we will give priority to targets in the oil and gas sector (with particular emphasis on the full energy value chain, we also plan on exploring opportunities in related areas such as energy transition technologies, artificial intelligence applications in energy, digital transformation for resource optimization, the explosive growth in power demand driven by the artificial intelligence boom and hyperscale data centers (with natural gas providing reliable dispatchable power to data centers), and other infrastructure or industrial opportunities that complement the energy sector.
