We are a newly organized blank check company. While our efforts to identify a target business may span many industries and regions worldwide, we intend to focus our search for prospects within the software and internet technology industries. Our management team believes that the forces driving software’s innovation and importance have accelerated in the past eight years. A wide range of intertwined breakthroughs, including cloud computing and the globalization of broadband internet, have accelerated cycles of change, impacting industries and business models across the world. Our management team believes there is a dilemma: a growing number of companies are attracting more private capital, and even for those which flourish, exit routes for their investors are limited. Moreover, narrower exit routes are often reserved for the largest companies, a substantial disadvantage for medium-size software and internet companies. Thus, we believe this recent trend creates a long-term opportunity for stockholder return via an initial business combination with a smaller, high-performing private technology company or companies. Additionally, it provides a persuasive rationale for such companies to merge with us, as we believe they face fewer exit options than larger unicorns.
