We are a blank check company formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. We currently intend to concentrate our efforts on companies in the leisure and entertainment sectors but we are not required to complete our initial business combination with a business in these industries. As a result, we may pursue a business combination outside of these industries. We expect to pursue both domestic and global businesses. We will seek to capitalize on the experience and networks of the members of our management team: Mr. Claudius Tsang, Mr. Ashley Bancroft, Mr. Nathan Pau and Ms. Tracy Hui Yin Choi, as well as our advisors, Mr. Kester Ng, to identify, evaluate and acquire a target business. Our management team and advisors consist of professionals who have significant experience in both public and private companies.
