Additionally, we have not engaged or retained any agent or other representative to identify or locate any suitable acquisition candidate, to conduct any research or take any measures, directly or indirectly, to locate or contact a target business. One of our insiders is our sponsor, Shepherd Ave Capital Sponsor LLC, a Delaware limited liability company which is solely owned and controlled by Mr. Carmelo Caschetto. The other insiders are officers and directors of the Company. We believe that with their experience and skillsets in sourcing, investing, and value-enhancement, we are well positioned in pursuing opportunities that will offer risk-adjusted returns.
