We are a newly incorporated blank check company incorporated for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any specific business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. We have generated no revenues to date and we do not expect that we will generate operating revenues at the earliest until we consummate our initial business combination. While we may pursue an acquisition opportunity in any industry or sector, we intend to focus on businesses that operate in the following “better-for-you” sectors: (i) consumer packaged goods and other consumables and (ii) hospitality, including restaurants. We consider “better-for-you” to include businesses that focus on health and wellness broadly. We believe “better-for-you” products appeal to health-conscious consumers seeking products that are less processed, contain natural ingredients and are transparent with their ingredients and sourcing practices
