Georgia Banking Company, a commercial and retail bank with 10 branches in the Atlanta metro area, filed on Friday with the SEC to register its shares and complete a direct listing on the Nasdaq. The shares of common stock listed will be sold by existing shareholders; Georgia Banking Company will not raise new capital in its listing.
The registered shareholders may sell up to 7.0 million shares of common stock, which is 66% of the company's shares outstanding. No shareholders have entered into lock-up agreements.
Georgia Banking Company provides commercial banking, community banking, private banking, commercial real estate banking, mortgage warehouse, and treasury services to businesses, professionals, entrepreneurs, and consumers in the Atlanta area. It operates 10 full-service banking offices and three loan production offices, all in the Atlanta area. As of June 30, 2026, it had about $3.3 billion in total assets, $2.6 billion in loans, and $2.8 billion in deposits. The company completed acquisitions of Georgia Primary Bank in March 2025 and Tandem Bank in June 2026.
The Atlanta, GA-based company was founded in 1998 and booked $172 million in revenue for the 12 months ended June 30, 2026. It plans to list on the Nasdaq under the symbol GBC. Georgia Banking Company filed confidentially on July 28, 2026. As a direct listing without a firm commitment offering, there are no underwriters on the deal; instead, Performance Trust Capital Partners will serve as financial advisor.
