James Graf's SPAC Graf Acquisition II refiles for a $220 million IPO

Graf Acquisition II, a blank check company led by SPAC veteran James Graf targeting industrial and other sectors, refiled on Friday with the SEC to raise up to $220 million in an initial public offering. The SPAC originally filed in 2021 before withdrawing in 2022.

The company plans to raise $220 million by offering 22 million units at $10. Each unit consists of one share of common stock, and one-third of one warrant to purchase a share, exercisable at $11.50.

Graf Acquisition II is led by CEO, CFO, and Director James Graf, who previously served as a Managing Director of Singapore-based investment bank TC Capital. The SPAC intends to target industrial and other businesses with proprietary technology and broad distribution networks.

Graf's most recent SPACs include Graf Global (GRAF; +8% from $10 offer price), which went public in 2024 and is in a pending merger with basketball league Big3 Basketball, Graf Acquisition IV, which completed its business combination with cell therapeutics biotech NKGen Biotech (OTC: NKGN) in 2023, and Graf Acquisition III, which withdrew its plans for an initial public offering in 2022.

The Woodlands, TX-based company was founded in 2026. It plans to list on the NYSE under the symbol GTOO.U. Lucid Capital Markets is the sole bookrunner on the deal.
