SPAC ARC Group Acquisition II files for a $105 million IPO

ARC Group Acquisition II, a blank check company targeting the technology, healthcare, and logistics industries, filed on Thursday with the SEC to raise up to $105 million in an initial public offering.

The company plans to raise $105 million by offering 10.5 million units at $10. Each unit consists of one share of common stock, and 1 warrants to purchase a share, exercisable at $11.50, and one-quarter of a right to receive a share at the time of the business combination.

ARC Group Acquisition II is led by CEO Jonathan Jaranilla, the Head of Business Development and IR at Exascale Labs (pending merger with BCAR), CFO Jake Carney a former Managing Director at ARC Group, and COO and Director Ian Hanna, the CEO and Partner of ARC Group Securities.

Prior affiliated SPACs include ARC Group Acquisition I (ARCLU), which raised $105 million in April, ARC Group Securities Acquisition I (FJDIU), which raised $105 earlier this month, and ARC Group Securities Acquisition II (WECOU), which is on file to raise $105 million.

The Tempe, AZ-based company was founded in 2025. It plans to list on the Nasdaq under the symbol CLMZU. Arc Group Securities is the sole bookrunner on the deal.
