Rainier Acquisition, a blank check company target life sciences, filed on Thursday with the SEC to raise up to $75 million in an initial public offering.
The company plans to raise $75 million by offering 7.5 million units at $10. Each unit consists of one share of common stock, and one-fourth warrants to purchase a share, exercisable at $11.50.
Rainier Acquisition is led by CEO and Director Gbola Amusa, who was previously CFO of Metsera (formerly Nasdaq: MTSR), CFO Guy Barudin, a Managing Director at Chardan, and Chairman Isaac Manke, an SVP at OnKure. The SPAC plans to target life sciences businesses, including those in therapeutics, diagnostics, genomics, precision medicine, life science tools, research services, biomanufacturing and related subsectors.
The New York, NY-based company was founded in 2023. It plans to list on the Nasdaq under the symbol RNAQU. Rainier Acquisition filed confidentially on July 24, 2026. Chardan Capital Markets is the sole bookrunner on the deal.
