Luminous Acquisition, a SPAC led by an ARC Group executive, files for a $105 million IPO

Luminous Acquisition, a blank check company lead by an executive from ARC Group, filed on Tuesday with the SEC to raise up to $105 million in an initial public offering.

The company plans to raise $105 million by offering 10.5 million units at $10. Each unit consists of one share of common stock, and one warrant to purchase a share, exercisable at $11.50, and one right to receive one-fourth of a share at the time of the business combination.

The company is led by Chairman, CEO, and CFO Ian Hanna, the CEO of ARC Group Securities. Luminous Acquisition states it will seek to acquire one or more businesses with an aggregate enterprise value of $700 million or greater.

Hanna currently serves as the COO of ARC Group Acquisition I (ARCLU; +2% from $10 offer price), Chairman and CEO of ARC Group Securities Acquisition I (FJDIU; +0%), Chairman and CEO of ARC Group Acquisition II, and Chairman, CEO, and CFO of Norient Acquisition.

The Tempe, AZ-based company was founded in 2026. It plans to list on the Nasdaq under the symbol LUMIU. Arc Group Securities is the sole bookrunner on the deal.
