1776 Acquisition, a blank check company targeting technology-enabled businesses, filed on Monday with the SEC to raise up to $150 million in an initial public offering.
The company plans to raise $150 million by offering 15 million units at $10. Each unit consists of one share of common stock, and one-half warrants to purchase a share, exercisable at $11.50.
1776 Acquisition is led by Executive Chairman and COO Charles Churchwell III, the Principal of Churchwell Insurance Agency. He is joined by CEO Craig Taggart, a Venture Partner at Qubits Ventues and Principal of Ligo Partners, as well as CFO Eugene Johnston, the CFO of Mangoceuticals (Nasdaq: MGRX). 1776 Acquisition states that it intends to target technology-enabled businesses, including financial services technology, AI and robotics, blockchain businesses, national security technology, quantum computing, and other fields.
The Dallas, TX-based company was founded in 2025. It plans to list on the NYSE under the symbol SVSXU. Clear Street is the sole bookrunner on the deal.
