SPAC K2 Capital Acquisition II files for a $150 million IPO, targeting national defense and critical infrastructure

K2 Capital Acquisition II, a blank check company targeting national defense and critical infrastructure, filed on Friday with the SEC to raise up to $150 million in an initial public offering.

The company plans to raise $150 million by offering 15 million units at $10. Each unit consists of one share of common stock, and one right to receive one-tenth of one share at the time of the business combination.

K2 Capital Acquisition is led by CEO and Chairman Karan Thakur, who founded and currently serves as Managing Director of K2 Capital Advisors, and CFO Glenn Worman, the former Interim CFO of SeatonHill Partners/GCW Consulting. Their previous SPAC, K2 Capital Acquisition (KTWOU; +2% from $10 offer price), went public in September 2025 and is targeting robotics and nuclear energy.

The SPAC plans to target businesses in national security, defense and aerospace, energy security and critical minerals, advanced manufacturing and critical infrastructure, and artificial intelligence, emerging technologies, and secure supply chains.

The New York, NY-based company was founded in 2026. It plans to list on the Nasdaq under the symbol KIIU. D. Boral Capital is the sole bookrunner on the deal.
