SPAC Bluerock Acquisition II files for a $150 million IPO, targeting Web3 businesses

Bluerock Acquisition II, a blank check company backed by Bluerock targeting Web3 businesses, filed on Friday with the SEC to raise up to $150 million in an initial public offering.

The company plans to raise $150 million by offering 15 million units at $10. Each unit consists of one share of common stock, and one-third of one warrant to purchase a share, exercisable at $11.50.

Bluerock Acquisition is led by CEO and Chairman Ramin Kamfar, the founder, CEO, and Chairman of alternative asset manager Bluerock, with $120 billion real estate and capital markets experience across its principals. He is joined by CFO Christopher Vohs, the CAO of Bluerock. Their previous SPAC, Bluerock Acquisition (BLRKU; +2% from $10 offer price), went public in December 2025 and is targeting companies with robust growth prospects.

The SPAC plans to target businesses in sectors such as Web3 (decentralized platforms and digital assets, and data-intensive fintech infrastructure.

The New York, NY-based company was founded in 2025. It plans to list on the Nasdaq under the symbol BRRKU. BTIG is the sole bookrunner on the deal.
