We are a blank check company formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not identified any business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. We intend to focus our search for a target business on companies that provide opportunities for attractive risk-adjusted returns while facilitating and advancing a sustainable future. In particular, we will seek companies with meaningful potential for delivering financial, social, and environmental value and whose forward development path would benefit from the ability to harness the power of public capital markets to expand on these objectives. We are guided by the simple premise that great companies create robust value for all corporate stakeholders. Those stakeholders include investors, as well as employees, customers, suppliers, civil society, the communities in which they operate and nature itself.
