AlphaTime Acquisition ^{Priced, Nasdaq: ATMC}

We are a blank check company. Our efforts in identifying prospective target businesses will not be limited to a particular geographic region, although we intend to primarily focus on businesses in Asia. A majority of our executive officers and directors are located in or have significant ties to the PRC. However, our Chief Executive Officer, Dajiang Guo, and our Chief Financial Officer, Jichuan Yang, are both United States citizens and two of our directors are United States citizens, resulting in four of our six executive officers and directors being United States citizens. Furthermore, each of our director nominees has previously resided in the United States for a significant period of time. Because our management team has a substantial network in the PRC, we may pursue a business combination with a company doing business in China, which may have legal and operational risks associated with such a decision. These risks could result in a material change in the target company’s post-combination operations or could significantly limit or completely hinder our ability to offer or continue to offer securities to investors and cause the value of such securities to significantly decline or become worthless. However, we will not consummate our initial business combination with an entity or business with China operations consolidated through a VIE structure.
